The Platform is operated by Marillion Exchange, a limited company registered in England under company number 14415715 ("MarillionEx", "we", "us", "our").

• your use of the Platform complies with applicable laws in your jurisdiction.

We may restrict or refuse access to the Platform in any country or region where offering the Platform would be unlawful or impractical.

• keep your login details confidential;
• notify us promptly of any unauthorised access or security breach; and
• accept responsibility for activity conducted through your account.

We may suspend or terminate accounts where we reasonably believe there has been misuse, fraud, or breach of these Terms.

To protect the Platform and comply with legal obligations, we may require identity, verification, or compliance checks (including source-of-funds/source-of-wealth checks where applicable). You agree to provide requested information and documentation.

Where the Platform enables purchases (now or in future), the following applies:

• any fees, unit pricing, payment methods, and delivery/issuance terms will be displayed at the point of purchase and may include additional terms specific to that product or Project;
• estimated returns, projections, or "annual returns" tables are illustrative forecasts and not guaranteed;
• market prices for Credits may rise or fall, and liquidity may be limited;
• outcomes may be affected by regulatory changes, verification timelines, project performance, and broader market conditions.

If fees apply (platform fees, processing fees, administrative fees, spreads, or other charges), these will be disclosed on the Platform at the point they become relevant. You are responsible for any taxes, duties, or charges imposed by your bank, card issuer, or local authorities.

11. Prohibited Use

You must not:

• use the Platform for unlawful purposes;
• attempt to gain unauthorised access to systems, accounts, or data;
• introduce malware, bots, scraping scripts (without permission), or harmful code;
• interfere with Platform performance or security;
• misrepresent your identity, authority, or affiliation; or
• use the Platform in a way that could harm MarillionEx, Projects, partners, or other users.

Unless stated otherwise, all Platform Content, branding, layout, and design are owned by or licensed to MarillionEx and protected by intellectual property laws.

You may view and print pages for personal, non-commercial use. You may not copy, reproduce, distribute, or exploit any Content for commercial purposes without our written permission.

Nothing in these Terms limits liability for fraud, or for death/personal injury caused by negligence, or any liability that cannot be limited by law.

Subject to the above, MarillionEx will not be liable for:

• indirect, consequential, or special losses;
• loss of profits, revenue, business, goodwill, or opportunity;
• losses arising from your reliance on forecasts, tables, or indicative pricing; or
• losses caused by events outside our reasonable control.

We may suspend, restrict, or terminate your access to the Platform (in whole or part) if:

• you breach these Terms;
• we suspect fraud, abuse, or security risks; or
• we must do so to comply with legal obligations.

We may update these Terms from time to time. Updated Terms will be posted on this page and will apply from the date published. Your continued use of the Platform after changes are posted means you accept the updated Terms.

19. Governing Law and Jurisdiction

These Terms are governed by the laws of England and Wales. The courts of England and Wales will have exclusive jurisdiction over disputes, except where mandatory consumer protections in your jurisdiction apply.
